The Roles and Responsibilities of the Company Secretary & an Overview of DIFC Companies Law
Companies Law and the underpinning regulations apply to all entities, with specific requirements per jurisdiction. This course will give a broad understanding of the Companies Law DIFC Law No.3 of 2006 and the associated Companies Regulations.
It will describe who the law applies to and how this law impacts the staff, management and other stakeholders in DIFC companies, as well as exploring practical ways of ensuring legal requirements are met.
Part of the Companies Law and Regulations mandate encompasses the Company Secretary. The role of the company Secretary cannot be understated – from the significant legal and regulatory obligations to their importance within the firm’s governance framework.
Company secretaries traditionally have had the role of administering the affairs of the company and the business of the board. This role has now expanded and the corporate collapses of the late 1990s and early 2000s have impacted on this role through the increased focus of shareholders on governance, transparency and the corporate governance policies and practices within the company. The Company Secretary is the golden thread between the Board, the Firm, the Shareholders and other Stakeholders as whilst independent, needs to balance with the best interest for all stakeholders – including their Firm.
With this background, this course outlines the applicability of the Companies Law and regulations and the legal requirements set forth and expands to the significant role of the company secretary and their expected conduct and responsibilities.
